INDEMNIFICATION

You shall cooperate as fully as reasonably required in the defense of any such claim. AXÓN reserves the right, at its own expense, to assume the exclusive defence and control of any matter subject to indemnification by you.


ENFORCEMENT OF TERMS AND CONDITIONS
This Agreement is governed and interpreted pursuant to the laws of Madrid, Spain, notwithstanding any principles of conflicts of law. You expressly agree that exclusive jurisdiction resides in the courts of Spain. You further agree and expressly consent to the exercise of personal jurisdiction in Spain in connection with any dispute or claim involving AXÓN. If any part of these terms is unlawful, void, or unenforceable, that part will be deemed severable and will not affect the validity and enforceability of the remaining provisions.


ENTIRE AGREEMENT
This Agreement constitutes the entire agreement between you and AXÓN with respect to the subject matter of this Agreement and supersedes and replaces all prior or contemporaneous understandings or agreements, written or oral, regarding that subject matter. Any waiver of any provision of this Agreement will be effective only if in writing and signed by AXÓN.
